OEM Limited Warranty

This OEM Limited Warranty sets forth the complete warranty coverage applicable to all power generation products and services sold by Hyperion Motors LLC ("Hyperion"). Hyperion fulfills orders through an established OEM manufacturer and authorized service partner. All warranty coverage described herein reflects and is limited to the warranty coverage extended by those OEM partners to Hyperion and passed through to Buyer. Hyperion does not independently warrant any product or service beyond the scope of coverage described below. By accepting delivery of any goods or services from Hyperion, Buyer acknowledges and agrees to the terms of this OEM Limited Warranty in their entirety. This warranty is incorporated by reference into Hyperion's Terms and Conditions at www.hyperion.inc/terms-and-conditions.


1. Product Warranty Coverage

1a. What Is Covered

Hyperion warrants, as a pass-through of OEM manufacturer coverage, that all power generation systems and components sold by Hyperion shall be free from material defects in design, materials, and workmanship for the applicable warranty period. This warranty is transferable and applies to the initial and each subsequent owner of the warranted product.

1b. Warranty Period

The warranty period for all new power generation systems is the shorter of:

  • Twelve (12) months or 8,000 operating hours from the date of commissioning; or
  • Eighteen (18) months from the date the Ready to Ship Notification was issued to the initial Buyer.

For spare parts and other components, excluding Wear and Tear Components and Consumables, the warranty period is twelve (12) months from the earlier of: the date of delivery to the initial Buyer, or the date of the Ready to Ship Notification.


2. Services Warranty

Where Hyperion's authorized service partner provides installation, commissioning, maintenance, or repair services, such services are warranted for ninety (90) days from the date of completion. The services warranty covers workmanship only and requires that services were performed in a professional manner in accordance with generally recognized industry standards.

The services warranty is not transferable. It applies only to the party with whom Hyperion directly contracted to provide the services. No services warranty extends beyond the scope of services actually performed by Hyperion's authorized service partner.


3. How to Make a Warranty Claim

To make a valid warranty claim, Buyer must satisfy all of the following requirements:

  • Submit written notice of the defect to Hyperion at sales@hyperion.inc within ten (10) days of the date Buyer first discovers or should have discovered the defect or breach.
  • Submit such notice in any event prior to the expiration of the applicable warranty period.
  • Provide a written description of the defect, the affected unit, lot number, serial number, and operating hours at time of discovery.
  • Provide fuel analysis reports upon Hyperion's request.
  • Follow Hyperion's then-current warranty claims process as directed by Hyperion upon receipt of the written claim notice.

Failure to satisfy any of the above requirements within the applicable time period shall constitute an absolute and unconditional waiver of the warranty claim, irrespective of when the facts giving rise to the claim were discovered.


4. Warranty Remedy

In the event of a valid warranty claim, Hyperion shall, in its sole discretion and subject to OEM partner availability:

  • Repair or replace the defective product or component; or
  • Re-perform the defective service; or
  • Credit or refund the purchase price paid for the specific defective item or service.

If requested, Buyer shall return defective goods to Hyperion's designated facility at Buyer's own expense. Hyperion reserves the right to use redesigned or reconditioned components for warranty repairs. Items repaired, replaced, or re-performed under warranty shall be covered for the balance of the original warranty period or ninety (90) days from completion of the remedy, whichever is longer.


5. What Voids This Warranty

This warranty shall not apply and shall be immediately null and void with respect to any product or component if:

  • Damage or defect results from failure to follow Hyperion's or the OEM manufacturer's technical instructions or operating guidelines.
  • The product has been modified, changed, or altered by anyone other than Hyperion or its authorized service partner.
  • The product was improperly installed, and Hyperion or its authorized service partner neither performed nor approved the installation.
  • The product was improperly operated, neglected, incorrectly serviced, or used in any manner other than as contemplated by its specifications or manufacturer's guidelines.
  • Damage or defect is caused by contaminated fuel below minimum fuel quality requirements, glycol or coolant contamination, fire, flood, wind, lightning, grid interconnection instability, or similar external causes.
  • The product is installed or used outside of North America.

If any warranty claim falls within any of the above exceptions, this warranty shall be void in full with respect to the affected product. Buyer shall reimburse Hyperion for all reasonable costs of investigating and identifying the issue and all costs to repair or correct the problem, billed at Hyperion's then-current service rate.


6. What Is Not Covered — Wear and Tear and Consumables

The following components and materials are excluded from all warranty coverage and are provided "as is" without warranty of any kind:

Wear and Tear Components

  • Compensators
  • Exhaust components
  • Single-use screws, washers, and fasteners
  • Gaskets, o-rings, and sealing materials
  • All electrochemical sensors
  • All rubber components

Consumables

  • Filters and fluids
  • Grease and lubricants
  • Gauges, light bulbs, fuses, and switches
  • Any component with an expected service life shorter than the applicable warranty period

Any costs for rigging or labor required to access a system or component for warranty repairs are also excluded and are at Buyer's expense.


7. Disclaimer of All Other Warranties

The warranties described in this OEM Limited Warranty are the only warranties provided by Hyperion and constitute the only remedies available to Buyer for any breach thereof. Hyperion expressly disclaims all other warranties, express or implied, statutory or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Hyperion makes no warranty with respect to design or any other matter not expressly covered herein. All wear and tear components and consumables are provided "as is" without representation or warranty of any kind. Buyer is solely responsible for determining whether goods and services are suitable for Buyer's intended purpose.

8. Limitation of Liability

In no event shall Hyperion be liable for any special, incidental, or punitive damages, or for any consequential damages of any kind, including but not limited to loss of profits, loss of revenue, data center downtime, loss of use, or interruption of business, whether or not advised of the possibility of such loss.
The total aggregate liability of Hyperion arising out of or relating to any goods, components, or services shall not exceed the total purchase price paid by the original Buyer to Hyperion for the specific product or service at issue.
The foregoing limitations shall apply notwithstanding any failure of essential purpose of any limited remedy. Nothing in this warranty shall exclude or limit liability for personal injury or death to the extent that such liability cannot be excluded or limited under applicable law.

9. Governing Law

This OEM Limited Warranty shall be governed by and construed in accordance with the laws of the State of Ohio, without reference to its choice of law provisions. Any dispute arising under this warranty is subject to the governing law, venue, and dispute resolution terms set forth in Hyperion's Terms and Conditions at www.hyperion.inc/terms-and-conditions.
